Importing XMI file format

I'm trying to import an XMI format file and constantly get this error.

Error 0xc00ce51f
Source=Line: 1; Char:5
Error Description=Invalid unicode character.

It's just a text file.
Does anyone know how to fix this?

I have seen an error very much (perhaps exactly) like this when i had specified an invalid file or path.  Noyt a terribly intuitive error message, but easily resolved once you figure it out.
